About the Role
We are seeking a Director of Capital Markets, reporting to the EVP of Finance, responsible for owning the company's capital planning strategy, long-range financial modeling, and capital markets and private credit relationships. This is a high-impact, highly visible role that sits at the intersection of capital markets, infrastructure finance, and executive strategy, and is central to TensorWave's ability to grow at the pace the AI infrastructure market demands.
The Director of Capital Markets will serve as the internal architect of our capital planning function, building the frameworks, models, and lender relationships that enable large-scale infrastructure deployment. This role requires deep fluency in private credit markets, including direct lending, unitranche facilities, and structured credit, as well as the ability to serve as TensorWave’s primary interface with private credit funds, institutional lenders, and capital partners. This role will collaborate closely with FP&A and the Executive team.
This position is an excellent fit for a professional with deep experience in private credit, direct lending, or infrastructure finance, whether from a fund/platform seat (e.g., Ares, Blue Owl, Apollo Credit, Owl Rock, Golub) or from investment banking coverage of those markets. The ideal candidate is ready to step into a senior corporate finance leadership role in a fast-growing, capital-intensive environment.
What You’ll Do
Capital Planning & Strategy
Own and lead the company's multi-year capital plan, integrating infrastructure buildout timelines, revenue backlog, and financing capacity into a cohesive, executive-ready framework
Develop and maintain integrated financial models to support debt sizing, covenant compliance, and capital deployment decisions across corporate entities and SPVs
Evaluate optimal capital structure across private credit facilities (direct loans, unitranche, delayed-draw term loans), revolving credit facilities, asset-backed structures, and equity, and recommend instrument mix and timing to senior leadership
Partner with Operations, Infrastructure, and Business Development to translate growth initiatives into near- and long-term capital requirements
Support data center lease structuring and real estate finance workstreams, including lease economics, MEP financing, phased delivery schedules, and tenant improvement coordination
Monitor credit markets, interest rate environments, and lender appetite to advise on refinancing opportunities and new issuance timing
Structure and manage strategic partner financing arrangements, including vendor credit support, guarantees, and co-investment structures that extend beyond traditional lender relationships
Translate contracted revenue streams (including long-term services agreements and customer offtake commitments) into bankable collateral packages and lender-ready underwriting narratives
Private Credit & Lender Relationship Management
Serve as the primary relationship owner for private credit funds, direct lending platforms, institutional lenders, and investment banks
Own and deepen relationships across the private credit ecosystem, including fund GPs, credit committee contacts, and portfolio monitoring teams, to ensure TensorWave has preferred access to capital on competitive terms
Prepare and present materials for lender updates, covenant reporting, and financing roadshows
Lead due diligence processes and coordinate across Legal, Accounting, and Operations to execute financing transactions end-to-end
Navigate credit agreement negotiation, intercreditor arrangements, and consent/waiver processes with existing and prospective lenders
Proactively cultivate new lending relationships to expand financing optionality and drive down cost of capital over time
Treasury Strategy & Risk Management
Own the corporate treasury policy framework, including liquidity thresholds, cash reserve targets, investment guidelines, and counterparty limits, establishing the strategic layer that governs how TensorWave deploys and protects its capital
Build and maintain a rolling 13-week and long-range cash flow forecast in partnership with Treasury Operations, providing leadership with clear visibility into funding gaps, surplus deployment windows, and facility draw-down timing
Develop and oversee TensorWave's short-term investment strategy for excess cash, evaluating permitted instruments in line with board-approved investment policy
Own TensorWave's interest rate hedging strategy, including managing SOFR exposure across floating-rate debt facilities through interest rate swaps, caps, and collar structures to protect against rate volatility as the debt program scales
Develop and manage a power price hedging program to mitigate electricity cost exposure across TensorWave's datacenter portfolio, including evaluation of fixed-price PPAs and financial hedges against spot and forward power markets
Financial Reporting & Executive Support
Produce executive-level reporting on capital deployment, debt maturity profiles, liquidity runway, and interest expense forecasting
Support the EVP of Finance in board and investor materials related to capital structure, liquidity, and long-range financial strategy
Partner with FP&A on forecasting, scenario analysis, and SPV-level capital planning
Function Building
Build out the capital planning function, including scalable processes, modeling infrastructure, and, over time, team members
Establish workflows for lender reporting, covenant tracking, and financing pipeline management
Drive cross-functional alignment with Legal, Procurement, and Accounting on financing timelines and capital outflows
Who You Are
Required Qualifications
Bachelor's degree in Finance, Accounting, Economics, Business Administration, or a related quantitative field
8-12 years of experience, with significant time spent in or covering private credit markets, whether at a direct lending fund/platform, in leveraged finance or infrastructure finance banking, or in a corporate finance role managing private credit relationships
Deep familiarity with private credit deal structures, including direct loans, unitranche facilities, delayed-draw term loans, and co-lending arrangements
Experience negotiating credit agreements, intercreditor terms, financial covenants, and lender consent/waiver processes
Demonstrated experience executing complex debt financings, including term loans, DDTLs,, revolving credit facilities, and private placements
Proven expertise in capital structures, debt mechanics, covenants, and long-range liquidity planning
Experience with complex multi-entity structures, SPVs, or project-finance-style modeling
Comfort structuring non-traditional financing arrangements involving strategic partners, vendors, or OEMs
Ability to translate contracted but non-standard revenue streams into bankable collateral structures that institutional lenders can underwrite
Advanced proficiency in Excel/Google Sheets, specifically for building integrated capital and debt models from scratch
Strong track record of managing and cultivating relationships with private credit funds, direct lending platforms, and institutional lenders
Exceptional attention to detail, strong problem-solving capabilities, and a demonstrated ability to run multiple concurrent deal tracks across different sites, capital partners, and structures in a high-growth environment with limited established processes
Preferred Qualifications
Experience advising or working within capital-intensive infrastructure, data center, energy, or technology companies
Prior seat at a private credit fund, BDC, or direct lending platform (e.g., Ares, Blue Owl, Apollo Credit, Owl Rock, Golub, HPS)
Prior in-house corporate finance experience post-banking (FP&A, treasury, capital markets or strategic finance)
Familiarity with asset-backed lending, equipment financing, or structured credit
Exposure to data center lease economics, real estate project finance, or infrastructure lease structuring (NNN, modified gross, build-to-suit)
Familiarity with state and local tax incentive packages, abatement structures, and pass-through entity tax planning across multi-state operations
Existing relationships with credit funds and institutional lenders active in infrastructure and technology financing
MBA or equivalent advanced degree
